By submitting an entry to Sarah Wells, LLC (“Sarah Wells Bags”)"Pumparoo" Holiday 2017 Design Contest, you agree to be bound by the following terms (“Official Contest Rules”).
CONTEST DATES
Submissions for The Sarah Wells Bags "Pumparoo" Holiday 2017 Design Contest begin on or around Sunday, April 9, 2017 at 12am EST. The final submission deadline is Sunday, April 30, 2017 at 11:59PM EST, after which Sarah Wells Bags will determine two (2) finalists before hosting a public vote to select the winner. The winner will be notified via email and announced shortly after voting has ended. There will be no late submissions accepted.
DESCRIPTION
The Sarah Wells Bags "Pumparoo" Holiday 2017 Design Contest is open to the eligible public to help create and select a design for a Pumparoo SKU by Sarah Wells Bags.
"Design" is defined as print only. The product functionality will remain the same. Contestants should not redesign the product.
ELIGIBILITY
All Contest entries are subject to verification and will be declared invalid if they do not follow the criterion provided; or if they are forged, falsified, altered or interfered with in any way. By participating in this Contest, contestants acknowledge compliance with, and agree to be bounded by, all Official Contest Rules, including eligibility requirements.
To be considered eligible for The Sarah Wells Bags "Pumparoo" Holiday 2017 Design Contest, you must:
1. Be 18 years or older;
2. Abide by all the terms and conditions contained in this Agreement;
3. Have the right, authority, and capacity to enter into this Agreement.
Employees and consultants of Sarah Wells Bags, their immediate family members, and members of their households are not eligible to participate.

To enter, you must submit a design using the submission form at sarahwellsbags.com/contest. The submission form will open at or around Sunday, April 9, 2017 at 12am EST and will close on Sunday, April 30, 2017 at 11:59PM EST. Late entries will not be accepted. In the event a technical issue arises while submitting a Contest entry, the contestant should immediately contact Sarah Wells Bags by emailing info@sarahwellsbags.com.
Entries must be made by an individual. No duos or group entries permitted. Duo or group entries and entries on behalf of entities are void.
Multiple entries are permitted, though only one (1) consolation prize per contestant will be awarded. Fraudulent duplicate entries will result in disqualification of all entries.
DESIGN REQUIREMENTS

Product Dimensions: 12" H x .25" W x 10" L (Unfolded) / 6" H x 1" W x 10" L (Folded into quarters)
All entries must either be a single centered image, not to be repeated OR a seamless design able to be repeated along all sides. Four (4) colors maximum.
Digital Requirements: To ensure print quality, all digital designs should be submitted as vector files or as high-resolution JPGs with a minimum resolution of 300 dpi. Sarah Wells Bags will require the editable file (.psd, .indd or .ai) for the winning designs (first- and second-place).
Hand-Drawn Entries: Hand-drawn entries are permitted. Sarah Wells Bags reserves the right to digitize the design, if necessary.
Sarah Wells Bags reserves the right to alter or modify the first- and second-place designs to accommodate the product, dimensions, material and aesthetic. Sarah Wells Bags also reserves the right to disqualify any entry not meeting the design requirements or entries found to be offensive in Sarah Wells Bag’s sole judgement.
By agreeing to these terms, you warrant that, to the best of your knowledge, your design is original.
SELECTION OF FINALISTS
Sarah Wells Bags employees, consultants and focus group will act as judges to choose two (2) finalists on or around Monday, May 8, 2017. Entries will be judged based on the following criteria:
Overall aesthetic;
Uniqueness and adherence to “edgy” theme;
Compliance with design requirements.
PUBLIC VOTING
The Public Voting Period will begin on or around 10 EST on Monday, May 8, 2017 and will end at 11:59PM EST on Friday, May 12, 2017.
During the Public Voting Period, the general public may vote for one (1) of the two (2) finalists at sarahwellsbags.com/vote. The design receiving the most votes during this voting period will be the winning design. Only one (1) vote per person. In the event of a tie, the winner will be selected by Sarah Wells Bags based on voting during the selection of finalists.
Sarah Wells Bags encourages finalists to ask family and friends to vote for their favorite design. Sharing the Contest on social media is also permitted. However, any fraudulent, unfair or unethical voting practices (such as automated voting) are not permitted and may result in disqualification.
NAMING THE WINNERS
The first- and second-place winners will be announced publicly on or around Monday, May 15, 2017. At this time, the winners will be announced on sarahwellsbags.com and on Sarah Wells Bags social media pages.
By agreeing to these terms, you permit Sarah Wells Bags to use your name and likeness in connection with any and all marketing related to this Contest or design.
PRIZES
1st place: The first-place winner will receive $1,000 and five (5) free Pumparoos with his or her original design (value $18.99 each). Pumparoos not eligible for return or resale.
2nd place (runner-up): Second-place will receive $250 and one (1) Pumparoo of choice (value $18.99). Pumparoo not eligible for return or resale.
All contestants: All submissions meeting qualification and design requirements will receive one (1) Pumparoo of Sarah Wells Bags’ choosing (value $18.99). Limit one (1) Pumparoo per contestant. Pumparoos not eligible for return or resale.
All prizes, monetary and Pumparoo bags, will be sent to the address provided at time of entry submission. Sarah Wells Bags is not responsible for loss or misdelivery of prizes.
INTELLECTUAL PROPERTY
Sarah Wells Bags does not claim ownership rights to your entry or entries. Contest entries of the first- and second-place winners, who receive compensation, become the property of Sarah Wells Bags.
By completing the submission form and checking the box acknowledging you have read and agree to these Official Contest Rules and release of liability, the winners (first-and second-place) grant Sarah Wells Bags the exclusive, transferable, fully paid, royalty free, worldwide license to use, modify, delete from, add to, publicly display, and reproduce your design on any and all Sarah Wells Bags products, now known or hereafter invented, for an unlimited number of unlimited quantity runs in perpetuity.
By submitting an entry, you consent to the use by Sarah Wells Bags of your design and your name and likeness in connection with the content in any and all related marketing activities in any media or format now known or hereafter invented, in any and all locations, without any payment to or further approval from you. You agree this consent is perpetual and cannot be revoked.
You acknowledge this Contest is not sponsored, endorsed, administered by Facebook or Instagram.
By submitting your entry, you represent and warrant your entry:
is your own original work;
does not contain materials or images that are, in Sarah Wells Bag’s sole judgement, offensive, obscene, defamatory, or inappropriate for the general public that may include minors;
does not violate or infringe upon the copyrights, trademarks, rights of privacy, publicity or other rights of any person or entity;
does not contain malicious code, such as viruses, timebombs, cancelbots, worms, Trojan horses or other potentially harmful programs or other material or information;
does not and will not violate any applicable law, statute, ordinance, rule or regulation;
does not feature the likeness of a private individual without that individual’s explicit and written permission for its use;
does not trigger any reporting or royalty obligation to any third party; and
do not conflict with any other agreements, commitments or obligations to which you are a party with any other party or entity.
By submitting your entry, you agree to the following terms:
I will comply and be bound by the Official Contest Rules and the decisions of Sarah Wells Bags as binding in all matters relating to the Contest;
Release Sarah Wells Bags and any other organizations responsible for fulfilling, administering, advertising, or promoting the Contest, and from and against any and all claims, expenses, and liability, including but not limited to: negligence, damages of any kind to persons or property, including but not limited to: invasion of privacy, defamation, slander, libel, violation of right of publicity, infringement of trademark, copyright or other intellectual property rights, property damage, or death or personal injury arising out of or relating to a contestant’s entry, creation of an entry or submission of an entry, participation in the Contest, acceptance or use or misuse of prize (including any travel or activity related thereto) and/or the broadcast, transmission, performance, exploitation or use of entry; and (c) indemnify, defend and hold harmless Sarah Wells Bags from and against any and all claims, expenses, and liabilities (including reasonable attorney’s fees) arising out of or relating to a contestant’s participation in the Contest and/or contestant’s acceptance, use or misuse of prize;
Participation in the Contest constitutes finalists’ and the winners’ consent to Sarah Wells Bags and its agents’ use of the finalists’ and winners’ names or likeness for promotional purposes in any media, worldwide, without payment or consideration;
Sarah Wells Bags reserves the right to cancel, suspend and/or modify the Contest, or any part of it, including the dates of the Contest, if any fraud, technical failures or any other factor beyond Sarah Wells Bags’s reasonable control impairs the integrity or proper functioning of the Contest, as determined by Sarah Wells Bags in its sole discretion, or for any other reason whatsoever;
Sarah Wells Bags reserve the right to disqualify any individual or contestant in its sole discretion;
Any attempt by any person to deliberately undermine the legitimate operation of the Contest may be a violation of criminal and civil law, and, should such an attempt be made, the Sarah Wells Bags reserves the right to seek damages from any such person to the fullest extent permitted by law;
Sarah Wells Bags is not responsible for, nor are they required to count incomplete, late, misdirected, damaged, unlawful or illicit votes, including those secured through payment, votes achieved through automated means or by registering more than one e-mail account and name, using another contestant’s e-mail account and name, as well as those lost for technical reasons or otherwise;
Failure to enforce any term of these Official Contest Rules does not constitute a waiver of this Agreement.
PRIVACY
Contact information will not be passed on to any other companies without your expressed permission.
GENERAL CONDITIONS
Limitations of Liability: Sarah Wells Bags is not responsible for: (1) any incorrect or inaccurate information, whether caused by contestants, printing errors or by any of the equipment or programming associated with or utilized in the Contest, (2) technical failures of any kind, including, but not limited to malfunctions, interruptions, or disconnections in phone lines or network hardware or software; (3) unauthorized human intervention in any part of the entry process or the Contest; (4) technical or human error which may occur in the administration of the Contest or receipt or use of any prize. If for any reason a contestant’s submission is found to have been erroneously deleted, lost, or otherwise destroyed or corrupted, contestant’s sole remedy is to provide another Submission.
Disputes: contestant agrees that: (1) any and all disputes, claims and causes of action arising out of or connected with this Contest, or any prizes awarded, other than those concerning the administration of the Contest or the determination of the Winner, shall be resolved individually, without resort to any form of class action; (2) any and all disputes, claims and causes of action arising out of or connected with this Contest, or any prizes awarded, shall be resolved exclusively by the United States District Court or the Eastern District Court of Virginia; (3) any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering this Contest, but in no event attorneys’ fees; and (4) under no circumstances will contestant be permitted to obtain awards for, and contestant hereby waives all rights to claim punitive, incidental and consequential damages and any other damages, other than for actual out-of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased. Some jurisdictions do not allow the limitations or exclusion of liability for incidental or consequential damages, so the above may not apply to you. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Contest Rules, or the rights and obligations of the contestant and Sarah Wells Bags in connection with the Contest, shall be governed by, and construed in accordance with, the laws of the State of Virginia.
